International GAAP Online Licence Agreement

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS BEFORE USING THE ONLINE SERVICE
John Wiley & Sons Ltd, whose registered office is at The Atrium, Southern Gate, Chichester, West Sussex P019 8SQ("Wiley"), at its discretion, provides the subscriber ("You") with access to International GAAP Online (the "Website"), which includes, but is not restricted to related publications, email alerts, and other services (collectively, the "Other Material"). By making use of the Website, You agree to comply with the conditions imposed on Your use of the Website, as set out in these Terms and Conditions of access and elsewhere.

  1. Some parts of the Website may be outside Wiley's control or provided by a third party and Wiley does not take responsibility for provision of the content, or for any delays, interruptions or errors in the provisions of these additional services.
  2. Certain content accessible through the Website is the intellectual property of the third parties that provide such content to the relevant service provider, or us. The content is protected by copyright and other intellectual property laws and all ownership rights remain with the information service provider or the third party or us, as the case may be.
  3. Materials and features may be added to or withdrawn from the Website and the Website otherwise changed without notice.
  4. Upon completing an order for access to the Website, You will be provided with a Personal Identification Number (PIN). The PIN is for Your use only, should be held securely, and may not be disclosed or transferred to any third party. If we suspect that any PIN is being used by an unauthorised user or a different person from the user to whom it was issued, that PIN may be cancelled without notice.
  5. As an authorised user, Wiley grants You a non-exclusive, non-transferable licence for the term of this Licence to download, search, retrieve, display and view the content, and print out single pages from the Website for Your own personal and professional use, study, research and internal business use. You shall only use the content retrieved from the Website for Your own personal and non-commercial purposes and in accordance with these Terms and Conditions of access and the requirements set out elsewhere on the Website. You shall not otherwise copy, distribute or redistribute the content, including by caching, framing or similar means or sell, resell, re-transmit or otherwise make the content retrieved from the Website available in any manner to any third party. You shall not store the content for the purposes of creating a historical database or historical data product. You shall not use any of the content in connection with the issuance, trading, marketing or promotion of financial products without a separate written agreement with Wiley, the information service provider or third party, as the case may be, that has ownership rights to the content (e.g. Ernst & Young, IASB.). You may not remove or obscure the copyright notice or other notices contained in content retrieved from the Website.
  6. This Licence may be terminated by Wiley, and Wiley may immediately terminate access to the services by You, if You breach this Licence or in any way infringe the copyrights or other proprietary rights or the privacy rights of Wiley or any other parties. Following the expiration or termination of this Licence, You shall no longer have the right to access the subscriber-only portions of the Website services. You shall not be entitled to a refund of any subscription monies paid to Wiley in the event that access is terminated for this cause.
  7. Wiley warrants that it has the right to make the Website available to You. The Website and all materials contained therein are provided on an "as is" basis, without warranties of any kind, either express or implied, including, but not limited to, warranties of title, or implied warranties of merchantability or fitness for a particular purpose.
  8. The use of the Website and all materials is at Your own risk. Whilst every effort has been made in the development of the Website to present accurate and up-to-date information from the best and most reliable sources, the content is provided for reference purposes only and is not intended and should not be used as a substitute for professional advice or judgement or to provide legal advice with respect to particular circumstances. Neither the authors nor the publishers of content in the Website assume responsibility for, nor make any warranty with respect to, the suitability of the content for any particular purpose, or that it is error-free or represents the most recent information available. There may be delay or failure in access to the Website which is beyond Wiley's reasonable control.

Nothing in this Licence is intended to exclude liability for death or personal injury resulting from any negligence by us.

  12. Terms in an order form take precedence over any terms and conditions applicable. Save in the event of breach or insolvency, this Licence shall continue for an agreed term of twelve months. Prior to the end of the term, Wiley will invoice You for provision of the services for subsequent periods. Your continued use of the Website after receipt of such invoice constitutes Your acceptance of the terms governing the Website (as may be amended from time to time).
  13. We will use personal information collected about You in accordance with our privacy policy (http://www.wiley.com/WileyCDA/Section/id-301465.html) and for the purposes of providing access to and use of the Website and providing customer support, invoicing and other similar services related to access to the Website, and we may transfer personal information about You to service providers and to other members of the Wiley group worldwide for these purposes.
  14. This Licence shall be governed by English law and subject to the exclusive jurisdiction of the English courts.
